Terms of Service

These Terms of Service ("Terms") form a legally binding agreement between you ("Customer") and Turia Finance ("Finndesk", "we", "us") governing your access to and use of the Finndesk platform. By creating an account or using the service, you agree to these Terms.
1. The Service
Finndesk provides a SaaS compliance intelligence platform that monitors government portals (GST, TDS, Income Tax), detects notices, and delivers alerts to finance teams. The platform also includes task management, cap table management, ESOP administration, and other modules as described on our features page. The specific modules available depend on your subscription plan.
2. Account & Eligibility
- You must be at least 18 years old and authorised to bind your organisation to these Terms.
- You are responsible for maintaining the confidentiality of your login credentials.
- You must notify us immediately of any unauthorised access to your account.
- Each subscription covers up to 10 companies and 10 users unless otherwise agreed in writing.
3. Subscription & Payment
- Subscriptions are available on 6-month (₹25,000 + GST) and annual (₹36,000 + GST) billing cycles.
- All fees are in Indian Rupees and exclusive of applicable taxes (GST at 18%).
- Payments are due in advance. Access is suspended if payment is not received within 7 days of the due date.
- Annual and 6-month subscriptions are non-refundable except as required by applicable Indian consumer protection law.
- We reserve the right to revise pricing with 30 days' written notice before your next renewal.
4. Acceptable Use
You agree not to:
- Use the service for any unlawful purpose or in violation of any Indian law or regulation.
- Attempt to reverse-engineer, decompile, or extract source code from the platform.
- Share your account credentials with users outside your organisation.
- Use automated tools to scrape or extract data from the platform beyond its intended API.
- Misrepresent entity data or use the platform to facilitate tax fraud or non-compliance.
5. Data Ownership & Security
You retain full ownership of all business data (entity identifiers, compliance records, documents) you enter into the platform. We process this data solely to provide the service. Refer to our Privacy Policy for full details on data handling, storage, and security practices.
6. Service Availability
We target 99% uptime excluding scheduled maintenance and force majeure events. Scheduled maintenance will be communicated at least 24 hours in advance. We are not liable for downtime caused by third-party government portal outages or changes to those portals' APIs.
7. Disclaimer & Limitation of Liability
Finndesk is a compliance monitoring and management tool. It does not constitute legal or tax advice. You remain responsible for ensuring your filings are accurate and submitted on time. While we strive for accuracy, we do not guarantee that every notice or filing status will be detected in real time. To the maximum extent permitted by Indian law, our aggregate liability for any claim arising from these Terms shall not exceed the fees paid by you in the 3 months preceding the claim.
8. Termination
Either party may terminate the subscription with 30 days' written notice before the renewal date. We may terminate immediately for material breach (including non-payment, misuse, or fraudulent use) with written notice. On termination, your data will be retained for 90 days and then permanently deleted per our Privacy Policy.
9. Intellectual Property
The Finndesk platform, its design, algorithms, and underlying technology are the exclusive intellectual property of Turia Finance. These Terms grant you a limited, non-exclusive, non-transferable licence to use the platform during your subscription period only.
10. Governing Law & Disputes
These Terms are governed by the laws of India. Any disputes shall be subject to the exclusive jurisdiction of courts in Bengaluru, Karnataka. Parties will first attempt good-faith resolution before initiating legal proceedings.
